THERADIAG secures a standby equity facility (SEF®) with Société Générale

Theradiag (Paris:ALTER) (ISIN: FR0004197747, Ticker: ALTER), a company specializing in theranostics and in vitro diagnostics, announces that it has set up a standby equity facility (SEF®) with Société Générale, as approved by shareholders at the Annual General Meeting of April 8, 2014.
"We have entered into an active phase for the commercial development of our innovative products in France and internationally, and we want to insure that we have the financial means to support our ambitions,” comments Michel Finance, CEO of Theradiag. "This standby equity facility strengthens our financial flexibility and diversifies our sources of financing, while preserving our financial structure thanks to a limited discount. The funds raised will notably allow us to strengthen the development of our theranostics portfolio in the United States.”
At Theradiag’s request, Société Générale is committed to subscribe to successive capital increases, issued by tranches over the next 24 months, within the global limit of 445,000 shares, i.e. 9.9% of the number of shares currently outstanding1.
For each tranche, the issuance price will reflect the volume-weighted average price of shares for the three trading days immediately preceding the issue date, minus a discount of no more than 5%. This discount will enable Société Générale to instantly underwrite the shares despite possible market volatility. Acting as financial intermediary, Société Générale has no intention to remain a shareholder of the Company.
Should the entire standby equity facilty be drawn2, a shareholder currently owning 1.0% of the company’s share capital would see his or her share ownership reduced to 0.91%3.
