Semper Paratus Acquisition Corporation Announces Pricing of $300 Million Initial Public Offering

NEW YORK, Nov. 3, 2021 /PRNewswire/ -- Semper Paratus Acquisition Corporation (the "Company") announced today that it priced its initial public offering of 30,000,000 units, at $10.00 per unit. The units will be listed on the Nasdaq Global Market ("Nasdaq") and will begin trading tomorrow, Thursday, November 4, 2021, under the ticker symbol "LGSTU." Each unit consists of one Class A ordinary share and one-half of one redeemable warrant, each whole warrant entitling the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share. Only whole warrants are exercisable and will trade. Once the securities comprising the units begin separate trading, the  Class A ordinary shares and warrants are expected to be listed on Nasdaq under the symbols "LGST" and "LGSTW," respectively.

The offering is expected to close on November 8, 2021, subject to customary closing conditions.

Cantor Fitzgerald & Co. is acting as sole book-running manager of the offering. The Company has granted the underwriters a 45-day option to purchase up to an additional 4,500,000 units at the initial public offering price to cover over-allotments, if any.
