Oracle Extends Tender Offer For MICROS Shares To Sept. 2

(RTTNews) - Oracle Corp. (ORCL) said Wednesday that Rocket Acquisition Corp., a subsidiary of OC Acquisition LLC, a subsidiary of Oracle, has extended its all-cash tender offer for $68.00 per share for all of the issued and outstanding shares of common stock of MICROS Systems, Inc. (MCRS) to 12:00 Midnight, New York City time, at the end of September 2, unless further extended.

The tender offer was previously set to expire at 12:00 Midnight, New York City time, at the end of August 15.

The extension is being made in light of the fact that the European Commission has indicated that the provisional deadline for concluding its review of the deal is August 29, and the other terms of the merger agreement, including the conditions to the tender offer, Oracle said.

Except for the extension of the tender offer, all other terms and conditions of the tender offer remain unchanged.

As of 12:00 Midnight, New York City time, at the end of August 12, about 74.9 million shares were issued and outstanding, and about 20.1 million shares have been tendered into and not properly withdrawn from the tender offer.
