Nuveen Investments Announces Filing of Universal Shelf Registration St

    CHICAGO--(BUSINESS WIRE)--March 3, 2005--Nuveen Investments, Inc. (NYSE: JNC), a leading provider of diversified investment services for high-net-worth and institutional investors served by financial advisors, announced today that it has filed with the Securities and Exchange Commission a universal shelf registration statement on Form S-3. Once the registration statement is declared effective by the Securities and Exchange Commission, it will permit Nuveen Investments to issue and sell common stock, preferred stock, debt securities or hybrid securities in one or more primary offerings. It will also permit The St. Paul Travelers Companies, Inc., Nuveen Investments' majority shareholder, to offer and sell all or part of its equity interest in Nuveen Investments. This registration statement was filed in conjunction with the previously announced intention of St. Paul Travelers to explore its strategic alternatives with respect to its equity interest in Nuveen Investments, including a public offering or a sale to a third party.
    A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
