MasterCard Announces Election of Richard Haythornthwaite as Chairman of the Board of Directors; Steven J. Freiberg Elected as a Member of the Board
In addition, Steven J. Freiberg, chairman and chief executiveofficer of Citigroup's Global Consumer Group NA, and co-chair ofCitigroup's Global Consumer Group, has been elected a director of theMasterCard Board of Directors.
"I am delighted that Rick has agreed to take on the important roleof chairman of the board as MasterCard moves ahead with a new chapterin its 40-year history," said Robert W. Selander, MasterCard presidentand chief executive officer. "MasterCard is now a publicly tradedcompany with a new governance structure, including a chairman as wellas a majority of directors that the board has determined areindependent under its established guidelines as well as the corporategovernance standards of the New York Stock Exchange.
"Rick's strong leadership and strategic skills, as well as hisglobal experience, should prove invaluable as we pursue our vision ofadvancing commerce globally," said Selander.

With the election of Mr. Freiberg, the MasterCard board nowconsists of 10 members: two Class M directors; seven Class A directorswho are independent; and MasterCard President and CEO Robert Selander,also a Class A director.
Background on Richard "Rick" Haythornthwaite
Richard Haythornthwaite, 49, is a managing director of StarCapital Partners, a private equity partnership focused on Europeancapital-intensive sectors. From 2001 to 2005, he served as CEO anddirector for Invensys plc, and from 1997 to 2001 was with Blue CircleIndustries plc, first as chief executive, Europe and Asia, and then asgroup chief executive. His prior positions include serving as adirector of Premier Oil, president of BP Venezuela and generalmanager, Magnus Oil Field, BP Exploration. Rick is also anon-executive director of the main board of ICI plc.
Mr. Haythornthwaite is a graduate of Oxford and completed a SloanFellowship at the Massachusetts Institute of Technology. He ischairman of the Almeida Theatre and chairman of the Corporate AdvisoryGroup of the Tate Gallery. He is also a trustee of the UK NationalMuseum of Science and Industry and a board member of the BritishCouncil.

Steven J. Freiberg, 49, is chairman and CEO of Citigroup's GlobalConsumer Group NA and co-chair of Citigroup's Global Consumer Group.He has a long career with Citigroup, having joined its Card ProductsDivision in 1980 as a management associate. His broad experienceencompasses senior leadership roles with Citibank Financial Account,Citigroup's early entry into online banking; Citicorp InvestmentServices (CIS); and, the Citicorp Insurance Group. In 2000, he wasappointed chairman and CEO of Citi Cards and, in 2005, was appointedto his current position as co-chairman, Global Consumer Group. He iscurrently a member of Citigroup's Operating and Management Committees.
Mr. Freiberg holds a B.S. degree in Finance as well as an MBA fromHofstra University. He serves or has served on the boards of CitibankNA, Citicorp Credit Services Inc., Citicorp Investment Services,Citicorp Insurance Group, Citibank Trust NA, Citibank FSB, theCitigroup Foundation, the MasterCard U.S. Advisory Board (as chair),Direct Marketing Association board, Habitat for Humanity NYC Council,the Upromise board and the Financial Services Roundtable.
