DGAP-Adhoc: Mars One Ventures AG signs EUR12m funding agreement with Phoenix Enterprises AG

Mars One Ventures AG (the "Company") is pleased to announce that it has signed an agreement with Phoenix Enterprises AG ("Phoenix"), a Swiss investment company.  Under the agreement, Phoenix will subscribe for shares over a twelve month period, raising a total of up to EUR12 million, with a minimum of EUR0.5 million to be raised in any one calendar month. Half of the shares subscribed for will be new shares, subject to a General Meeting resolution to be called at the earliest opportunity, the other half will be shares borrowed from existing shareholders.

In addition, the Company has granted Phoenix warrants that can be exercised at any point with a three year exercise period subject to a minimum of EUR2 million having being raised in the agreement with Phoenix. The issuing of these warrants will also be subject to a resolution of the General Meeting.

First proceeds are expected in July 2018. The Company intends to use the proceeds to complete its re-listing on the Frankfurt Stock Exchange, to pay the license fee to Stichting Mars One and for general corporate purposes. The license fee, in turn, will enable Stichting Mars One to start a series of high profile activities, including the next round of astronaut selections, that the Company believes will add material value to the Company's media rights.
