Evonik Industries AG acquires the Performance Materials division from Air Products and Chemicals, Inc.

Essen, 6 May 2016 - Evonik Industries AG and Air Products and Chemicals, Inc., Allentown, Pennsylvania, USA, have agreed on Evonik Industries AG's acquisition of the Performance Materials division of Air Products and Chemicals, Inc. Such division comprises the Specialty and Coating Additives business of Air Products and Chemicals, Inc. The agreements which were concluded today for this purpose by Evonik Industries AG with the approval of Evonik Industries AG's Executive Board and Supervisory Board provide for a purchase price of 3.8 billion US dollars before synergies and tax benefits for Evonik Industries AG's acquisition of the Performance Materials division from Air Products and Chemicals, Inc. The deal is expected to generate annual synergies of 80 million US dollars and tax benefits amount to a net present value of more than 500 million US dollars for Evonik. With this transaction, Evonik strengthens its position in the growth segment for specialty and coating additives. The product and customer portfolios are complementary. With the current acquisition, Evonik is expanding its standing in North America. The implementation of the transaction is still subject to clearance by the competent competition authorities and other customary closing conditions. The transaction is intended to be completed by the end of this year.
