Barnes Group Inc. Completes Acquisition of European Specialty Distributor KENT

Barnes Group Inc. (NYSE: B) today announced completionof its acquisition of the KENT Division (KENT) from Premier Farnell,for cash consideration of approximately $41 million. KENT distributesadhesives, sealants, specialty cleaning chemicals, abrasives, toolsand other consumables to the European transportation aftermarket andindustrial maintenance market.

The KENT business will be integrated into Barnes Group Inc.'sBarnes Distribution business. KENT complements Barnes Distribution'sestablished businesses in the United Kingdom and France, and providesentry into the rest of Europe. KENT has strong market positionssupported by direct sales operations in France, Germany, the UnitedKingdom, Belgium, the Netherlands, Spain, Italy, Denmark and Sweden,and has distributorships in 20 additional countries.

Premier Farnell plc is a global, business-to-business, smallorder, high service distributor of electronic components andindustrial products to the design, maintenance and engineeringsectors. Premier Farnell is traded on the London Stock Exchange.

Barnes Distribution is an international full-service distributorof maintenance, repair, operating and production (MROP) supplies. Itis one of the largest industrial products distributors in NorthAmerica and includes operations in more than 30 countries. BarnesDistribution is a market leader in vendor-managed inventory. Thevendor-managed inventory model provides outsourced inventorymanagement, monitors inventory levels, tracks usage, replenishes stockand provides inventory reporting with limited customer involvement.Barnes Distribution has widely recognized brands and strong privatelabel products.
