Amazon.com, Inc. -- Moody's rates Amazon.com's senior unsecured notes Baa1

Approximately $2.5 billion in debt securities affected

New York, November 26, 2012 -- Moody's Investors Service today assigned a Baa1 rating to Amazon.com, Inc.'s proposed $2.5 billion multiple tranche senior unsecured notes offering. This is the first time Moody's is rating Amazon.com since ratings were withdrawn on March 27, 2009. The rating outlook is stable.

RATINGS RATIONALE

The proceeds from the proposed $2.5 billion senior unsecured notes offering will be used for general corporate purposes including the purchase of Amazon.com corporate headquarters for $1.16 billion.

Amazon.com's Baa1 senior unsecured rating reflects it global well-recognized brand name and large scale with about $57 billion in annual revenue. The rating also acknowledges that Amazon.com is the U.S.'s largest internet retailer and has a sizable international presence through seven international websites that it operates. The rating is supported by the strength of online retailing. Moody's believes that online retail sales will continue to experience strong growth over the next several years supporting Amazon.com's growth. Moody's believes Amazon.com is well positioned to benefit from the consumer trend of purchasing media (such as books and music) digitally as opposed to in its physical format. However, Moody's expects online retailing will become more competitive as numerous traditional bricks and mortar retailers turn their focus to their online presence and capabilities. This may possibly slow Amazon.com growth rates. The rating acknowledges that Amazon.com has other growth opportunities from new geographies it can enter along with new products it can launch in its existing geographies.

The rating considers Amazon.com's very good liquidity and strong balance sheet. Pro-forma for the $2.5 billion proposed senior notes, Amazon.com's debt to EBITDA was 2.2 times at September 30, 2012.

The rating is constrained by Amazon.com's current low level of EBIT. For the lagging twelve month period ended September 30, 2012, EBIT was $531 million. This is the lowest level of EBIT the company has earned since 2006. The rating is also constrained by Amazon.com's weak EBIT margin relative to its peers and by the sizable decline in EBIT margin currently being experienced as Amazon.com invests in the infrastructure to support its future growth. The rating factors in the expectation that EBIT margin will stabilize in the fourth quarter of 2012 and will begin to improve in 2013. The rating indicates our concern that going forward Amazon.com may not realize the full profitability of its investment period as it has previously. Although Moody's expects that Amazon.com's EBIT margin will improve, Moody's is concerned that Amazon.com's EBIT margin will be limited by competitive factors, an increase in its net shipping costs, and its pricing strategy. Moody's is also concerned that profitability may be impacted as Amazon.com expands the number of devices it develops internally and expands it web services business. Thus, Moody's does not believe that Amazon.com's EBIT margin will reach its historic levels. In addition, Moody's believes the company will need to continue to invest in capital expenditures at the rate it is currently as it explores and launches new products and solutions to its customers.

The stable outlook reflects Moody's expectation that Amazon.com will maintain its strong market position and global well recognized brand name. It also reflects Moody's expectation that Amazon.com's EBIT margin will begin to improve in 2013. It also reflects that Moody's expects Amazon.com to maintain a conservative balance sheet with very good liquidity.

Ratings could move upward should Amazon.com continue to experience healthy sales growth while improving its EBIT margin to above 2.25% while maintaining a conservative balance sheet. Quantitatively, an upgrade would require EBITA to interest expense above 7.0 times.

Downward rating pressure would develop should Amazon.com be unable to reverse its decline in EBIT margin and free cash flow. Ratings could be downgraded should Amazon experience a decline in its market position or brand name recognition. Ratings could also move downward should Amazon.com incur additional indebtedness to the extent that its credit metrics are more indicative of a lower rating or should it no longer maintain good liquidity. Quantitatively, ratings could move downward should debt to EBITDA remain above 3.25 times or EBITA to interest expense remain below 5.0 times.
