US Ecology, NRC Group Announce All-stock Merger - Quick Facts

(RTTNews) - US Ecology, Inc. (ECOL) and NRC Group Holdings Corp. (NRCG) have reached an all-stock merger deal with an enterprise value of $966 million. Upon completion, US Ecology stockholders will own approximately 70% of the combined company. The merger is projected to be mid-single digit accretive to US Ecology's 2020 adjusted earnings per share, before synergies.

US Ecology will form a new holding company with the name of US Ecology, Inc., and will own both US Ecology and NRCG. US Ecology stockholders will receive 1 share of of the new holding company for each share of its common stock. NRCG common stockholders will receive 0.196 shares of common stock of the new holding company for each share of NRCG.
