Renewal of M6 Group's Supervisory Board

Albert Frère did not wish to request the renewal of his term of office and duties as Chairman of the Supervisory Board, a position he has held for the past 12 years, having been a Director of M6 when created in 1987.

The Chairman of the Executive Board, Nicolas de Tavernost, and the entire Supervisory Board would like to take this opportunity to highlight Albert Frère's crucial role and constant support in the development of M6 Group, of which he was one of the key founders.

Guillaume de Posch, 57, will stand as Chairman of the Supervisory Board at its next meeting to be held at the end of the Shareholder's General Meeting of 28 April 2015. Guillaume de Posch has spent the majority of his career in the media industry, notably as Deputy CEO of TPS, CEO of ProSiebenSat1 and in his current role as Co-CEO of RTL Group.

In addition, Rémy Sautter has tendered his resignation from the Supervisory Board, of which he has been a member since 2000. His resignation will take effect at the end of the General Meeting of 28 April. Rémy Sautter also helped to create M6 in 1987 and has subsequently supported its development on an ongoing basis.

The Chairman of the Executive Board and the entire Supervisory Board have unanimously thanked Rémy Sautter for the extent and quality of his work on the Supervisory Board.

Accordingly, the appointment of two new members of the Supervisory Board will be proposed to the General Meeting of 28 April:

• Sylvie Ouziel, 44, a graduate of the Ecole Centrale de Paris, Chairman and CEO of Allianz Managed Operations & Services and Member of the Allianz Group Management Committee;
• Anke Schäferkordt, 52, Co-CEO of RTL Group and Member of the Executive Board of Bertelsmann.

The renewal of the terms of office of three members of the Supervisory Board will also be proposed during the same General Meeting:

• Gilles Samyn, CEO of Groupe Frère and of Compagnie Nationale à Portefeuille (CNP);
• Christopher Baldelli, Chairman of the Executive Board of RTL Radio (France);
• Immobilière Bayard d’Antin, represented by Catherine Lenoble, a former member of the Executive Board of M6 Group.

At the end of the General Meeting, the Supervisory Board will be comprised of 12 members, including 5 women, making the Group compliant in advance with Law n^o 2011-103 of 27 January 2011 which requires a minimum of 40% women by 1 January 2017.
