At the Annual General Meeting of Feintool International Holding AG held on 16 April 2013, the shareholders approved all the Board of Directors' proposals. All members of the Board of Directors were re-elected; at its meeting, the Board of Directors also re-elected current Chairman Alexander von Witzleben for a further term.

At the Ordinary General Meeting of Feintool International Holding AG held on 16 April 2013, the shareholders approved the Annual Report as well as the 2012 financial statements. The proposed dividend distribution of CHF 5.00 per registered share was also accepted. The Board of Directors additionally proposed a five-for-one share split aimed at improving the tradability of the shares on the stock exchange. The proposal and associated changes to the articles of incorporation were accepted. All six members of the Board of Directors were re-elected by the General Meeting. KPMG AG, Zurich, were re-elected as statutory auditors.

Board members confirmed in their positions

At the meeting of the Board of Directors, existing Chairman Alexander von Witzleben and Deputy Chairman Dr Michael Soormann were re-elected for an additional term. The Audit Committee is made up of Dr Kurt E. Stirnemann (Chair), Alexander von Witzleben, Wolfgang Feil and Dr Michael Soormann. The Nomination and Compensation Committee comprises Dr Michael Soormann (Chair), Alexander von Witzleben and Wolfgang Feil. Thomas A. Erb and Steffen Schroth are further members of the Board.
