Platform Specialty Products Proposes To Buy Alent In $2.3 Bln Deal - Quick Facts

(RTTNews) - Specialty chemicals company Platform Specialty Products Corp. (PAH) has proposed to acquire chemicals producer Alent plc (ALNT.L) in a cash and stock deal for about $2.1 billion. Including net debt, the total transaction value is about $2.3 billion.

The proposed deal in line with Platform's core strategy, and is expected to yield at least $50 million in annual pre-tax cost savings, which are expected to be phased in over the three years after the transaction is completed.

Under the terms of the deal, Alent shareholders will receive 503 pence in cash for each Alent share held by them. Th eoffer price represents a premium of about 49 percent over Alent's closing price of 337.7 pence per share as of July 10, 2015.

The deal will also include a partial share alternative under which eligible Alent shareholders can elect to receive Platform common stock in lieu of part or all of the cash consideration to which they would otherwise be entitled under the transaction.

Alent said it will not pay an interim dividend for the six months ended June 30, 2015, but Alent shareholders will be entitled to resolve and be paid by Alent, a final dividend in respect of the full-year ending December 31, 2015 without any reduction in the transaction price payable by Platform.

The deal will be implemented by way of a court-sanctioned scheme of arrangement under the U.K. Companies Act 2006.

The deal, unanimously approved by both companies' boards of directors, is expected to close in late 2015 or early 2016 after the satisfaction of the applicable closing conditions, including Alent shareholder approval and regulatory approvals in certain jurisdictions.

Following closing of the deal, Platform will remain a New York Stock Exchange listed company domiciled in the U.S.
