Middleby Offers To Buy AGA Rangemaster For GBP 128 Mln - Quick Facts

(RTTNews) - Middleby Corp. (MIDD) Wednesday announced the terms of a recommended cash deal to buy kitchen appliances and home fashion products maker Aga Rangemaster Group plc (AGA.L) for 185 pence.

The acquisition values the entire issued and to be issued share capital of AGA at approximately 129 million pounds.

The deal represents a premium of approximately 77 percent over the closing price on June 16, being the last business day prior to commencement of the offer period.

The deal also represents 22 percent over the closing price on July 14, being the last practicable date before the date of this announcement.

Middleby and AGA believe that the acquisition recognises the quality of AGA's businesses and its prospects and provides a compelling opportunity for AGA Shareholders to realise value from their current holdings in cash.
