Metrologic Directors Enter into Plan to Sell Shares

    BLACKWOOD, N.J.--(BUSINESS WIRE)--March 2, 2005--Metrologic Instruments, Inc. (NASDAQ-NMS:MTLG), experts in optical image capture and processing solutions, who design, manufacture and market worldwide sophisticated imaging and bar code scanning solutions for a variety of applications, today announced that its Chairman, C. Harry Knowles and Director Janet Knowles have advised the Company that they plan to sell some of their stock for estate planning purposes as well as diversification and liquidity. A foundation controlled by them is also expected to sell shares.
    On February 28, 2005, Mr. and Mrs. Knowles entered into a trading plan under Securities Exchange Act Rule 10b5-1 with Morgan Stanley providing for the sale up to 600,000 of their shares of common stock of Metrologic Instruments Stanley over the next one to two years. They currently hold 8,444,000 shares which includes warrants to buy an additional 195,000 shares at $3.47, and 800,000 shares in a Grantor Retained Annuity Trust. The Knowles Foundation, also known as the Knowles Science Teaching Foundation, will sell up to 300,000 of the 1,610,000 shares of Metrologic that it holds, in a rule 10b5-1 program with Morgan Stanley over the next one to two years. Including the amount held by the Knowles Foundation, the total shares held beneficially by the Knowles constitute approximately 45% of Metrologic's total outstanding shares.
    Transactions under these Rule 10b5-1 plans will be subject to certain price restrictions established under the plans and may be terminated at any time. Proposed and actual transactions will be disclosed publicly through Form 144 and Form 4 filings with the Securities and Exchange Commission. The Form 4 filings also will be posted in the investor relations section of Metrologic's web site.
