Lyngen Bidco AS - Waiver of condition of minimum acceptance level and settlement of the voluntary Offer

Oslo, 2 March 2015 - Reference is made to the voluntary offer (the "Offer") for the outstanding shares of EVRY ASA ("EVRY" or the "Company") by Lyngen Bidco AS (the "Offeror"), a company indirectly controlled by private equity funds advised by Apax Partners LLP. Reference is also made to the stock exchange notice dated 25 February announcing the preliminary results of the Offer.

The Offeror has received acceptances of the Offer for a total of 234,796,526 Shares, representing approximately 88 per cent of the Shares and voting rights in the Company. Neither the Offeror nor any of its related parties hold other Shares or rights to Shares of the Company.

The Offeror hereby waives the condition of receiving valid acceptances for more than 90 per cent of the Shares and voting rights in the Company. All other conditions for the Offer have been satisfied and settlement of the Offer will be made as soon as reasonably possible, and no later than 14 calendar days after the date of this announcement.

Capitalized terms in this stock exchange notice shall be interpreted in accordance with the definitions in the Offer Document unless otherwise defined. This notice has been issued by Lyngen Bidco AS.
