HealthTronics Receives Notice of Delisting from Nasdaq

HealthTronics, Inc. (NASDAQ:HTRN) today announced thaton April 3, 2006 it received a letter from the Nasdaq National Marketstating that because HealthTronics has not timely filed its AnnualReport on Form 10-K for the year ended December 31, 2005, it is inviolation of Nasdaq Marketplace Rule 4310(c)(14) and, therefore, itscommon stock is subject to delisting from the Nasdaq National Market.Nasdaq Marketplace Rule 4310(c)(14) requires HealthTronics to make, ona timely basis, all filings with the Securities and ExchangeCommission (the "SEC") as required by the Securities Exchange Act of1934, as amended.

According to the notice of delisting, HealthTronics' common stockwill be delisted from the Nasdaq Stock Market on April 12, 2006 unlessHealthTronics requests a hearing before a Nasdaq ListingQualifications Panel in accordance with the applicable NasdaqMarketplace rules. HealthTronics has requested such a hearing for areview of the delisting determination. This request will automaticallystay the delisting of HealthTronics' common stock pending the NasdaqListing Qualifications Panel's review and decision. There can be noassurance, however, that the Nasdaq Panel will grant HealthTronics'request for continued listing.

HealthTronics intends to file its Annual Report on Form 10-K forthe year ended December 31, 2005 as soon as practicable following theresolution of matters related to the restatement described in theCompany's Current Report on Form 8-K filed with the SEC on March 31,2006 and the completion of the audit of its financial statements.
