Health Management Associates Provides Update On Merger - Quick Facts

(RTTNews) - Health Management Associates Inc. (HMA) announced its Board is in the process of evaluating the company's announced merger with Community Health Systems Inc. (CYH), consistent with the terms of the merger agreement. Community Health Systems consented to the engagement by Health Management Associate of Lazard and UBS as additional financial advisors.

Community Health Systems filed a registration statement on Form S-4 with the SEC containing a preliminary proxy statement of both companies in connection with the merger. Once the preliminary proxy statement/prospectus has been declared effective by the SEC, Health Management Associates expects sending the proxy statement/prospectus to stockholders and holding a special meeting of its stockholders to approve the transaction. The transaction is expected to close by the end of the first quarter of 2014.
