ISARIA Wohnbau AG announces decision regarding capital increase using its authorized capital

Munich, 2nd August 2016: Today the board of directors of ISARIA Wohnbau AG ("ISARIA") has decided with the approval by the supervisory board to use the authorized capital for a capital increase with subscription rights. The share capital will increase from EUR23,764,000 to EUR35,646,000 through the issue of 11,882,000 new shares. The subscription price amounts to EUR4.50 per new share. The proceeds from the capital increase will be used for the financing of already acquired project development properties, the strengthening of the equity base of already existing projects as well as the financing of the company's growth through acquisition and development of further project development properties.

Existing shareholders will receive subscriptions rights in relation 2:1 based on their shareholding by end of 3rd August 2016 so that two old shares entitle for the subscription of one new share. The subscription period lasts for 14 calendar days presumably starting on 4th August 2016 until the 17th August 2016. The trading of subscription rights is neither organized by the company nor is it intended. ISARIA has appointed ODDO SEYDLER BANK AG as the subscription agent.

On 17th June 2016 ISARIA and the LSREF4 ARIA Beteiligungs GmbH & Co. KG ("LSREF4") entered a contract, under which LSREF4 agreed to take up all new shares for which the subscription rights were not exercised. The take up will take place at the subscription price of EUR4.50 per share. Due to the signed share purchase agreements and the irrevocable tender commitments between LSREF4 and several shareholders already approx. 70% of the existing shareholders are obligated not to exercise their subscription rights with the result that the respective new shares can be purchased by LSREF4.

Further details of the subscription-based capital increase can be found in the securities prospectus which will be published after approval by the "Bundesanstalt für Finanzdienstleistungsaufsicht" ("BaFin") and before the start of the subscription period. The securities prospectus will be published on ISARIA's website (http://investoren.isaria-wohnbau.de).

Based on the offering document related to the voluntary public takeover offer and the compensation offer by LSREF4 published on 28th July 2016 ISARIA intends to request the withdrawal of the admission of its shares for trading on the regulated market of the Frankfurt stock exchange ("Delisting"). In this context it is not intended to admit the new shares for trading.
