Change to composition of Management Board at HolidayCheck Group AG - CFO Dr Dirk Schmelzer to step down on 31 March 2017

Munich, Germany, 14 October 2016 - CFO Dr Dirk Schmelzer (49) will step down from the Management Board of HolidayCheck Group AG at his own request on 31 March 2017. The Supervisory Board has approved a request by Dr Schmelzer to end his contract early. Details of his successor will be announced shortly.

Dirk Schmelzer has held the position of Chief Financial Officer (CFO) at HolidayCheck Group AG since 1 February 2011. Over the last few years he has played a key role in the company's transition towards an exclusive focus on the travel business. This involved the successful disposal of all non- travel brands, generating a total cash inflow of EUR 100 million for HolidayCheck Group AG. With an equity ratio of around 85 percent, the HolidayCheck Group has liquid assets of more than EUR 30 million with no outstanding bank loans.

'Financially, we are ideally placed to realise our vision of developing the HolidayCheck Group into the most holidaymaker-friendly company in the world,' explained Georg Hesse, CEO of HolidayCheck Group AG. 'On behalf of the Management Board and all employees, I would like to thank Dirk Schmelzer for the commitment he has shown to the company and wish him every success in the future.'

Dirk Schmelzer will leave the company on very amicable terms to take up a new career challenge outside HolidayCheck Group AG. Stefan Winners, Chairperson of the Supervisory Board, noted that 'Dirk Schmelzer has done a tremendous job over the last six years and played a crucial role in the ongoing development of the HolidayCheck Group. I would like to express the gratitude of the entire Supervisory Board and wish him well in his future career.'

Dirk Schmelzer thanked the Supervisory Board for its support over the years and said: 'Leaving will not be easy, but I am confident that the company will maintain its track record of success on a solid foundation.'
