GRAND CITY PROPERTIES S.A. ANNOUNCES RESOLUTION OF DIVIDEND PAYMENT

Luxembourg, June 29, 2016 - Grand City Properties S.A. (the "Company") announces that the shareholders' annual general meeting as of today has resolved upon the distribution of cash dividend in the amount of EUR0.25 per share in accordance with the proposal of the Board of Directors (ex - date on June 30, 2016). The Company will distribute the cash dividend in a gross aggregate amount of EUR38.4 million on July 1, 2016.



The Company announces that to the shareholders' extraordinary meeting today less than one half of the share capital has been represented and the Company will convene a second meeting with the same agenda. The second meeting shall validly deliberate regardless of the proportion of the capital represented.

Grand City Properties is a specialist real estate company focused on investing in and managing turnaround opportunities in the real estate property market in Germany, primarily in densely populated areas. The Company's strategy is to improve its properties through targeted modernization and intensive tenant management, and then create value by subsequently raising occupancy and rental levels. For the 3 months ending 31 March 2016, the Company reported an Adjusted EBITDA of EUR 53.3 million (YOY increase of 56%) and a FFO I of EUR 37.7 million (YOY increase of 50%). Total equity as of 31 March 2016 amounts to EUR 2,402 million. As of May 2016 the Company holds 80 thousand units. The Company's rental and operating income annualized run rate as of May 2016 (May*12) is EUR 423 million. The Company's FFO I run rate as of May 2016 (May*12) is EUR 155 million. The Company's investment grade rating is BBB with a positive outlook and Baa2 by S&P and Moody's respectively.
