As publicly announced on March 16, 2016, ROFIN-SINAR Technologies Inc. entered into a Merger Agreement with Coherent, Inc., pursuant to which ROFIN will be acquired by Coherent at a price of $32.50 per share in cash, subject to the terms and conditions of the Merger Agreement, including approval of the transaction by ROFIN's stockholders. On June 29, 2016, at 10:00 a.m. local time, ROFIN will hold a Special Meeting at the Company's headquarters at ROFIN-SINAR Technologies Inc., 40984 Concept Drive, Plymouth, MI (USA), at which shareholders will be asked, amongst other things, to consider and vote upon the proposal to adopt this Merger Agreement.
