ROFIN-SINAR Technologies Inc. today filed with the U.S. Securities and Exchange Commission a Report on Form 8-K informing that it had been granted by the U.S. Federal Trade Commission an early termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 ('HSR Act') for Coherent's pending acquisition of the Company. The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger, which remains subject to other customary closing conditions, including receipt of stockholder and other regulatory approvals, including the approval or clearance of the Merger by all other relevant antitrust authorities, including the European Commission or the antitrust authority of one or more European Union member states.
