Stuttgart, 12. September 2016 - RIB Software AG (ISIN DE000A0Z2XN6) ("RIB") has agreed on the formation of a joint venture with a leading global manufacturing service provider for the formation of an international web- based platform for construction project management spanning from design, estimation, cost and end-to-end supply chain management. RIB will invest USD 60 million in the USD 120 million joint venture company for 50 percent ownership and, based on a software delivery order contract (Phase III), RIB will provide latest iTWO 4.0 Cloud Technology software to the joint venture for license fees in the amount of USD 45 million. In addition, the joint venture will obtain supply and manufacturing services from the manufacturing service provider.

RIB increases its EBITDA guidance for 2016 from EUR 20-25 million to EUR 27-32 million. The revenue guidance remains unchanged.
