Premicon Beteiligungs GmbH and shareholders associated with Premicon sell their share of 97.32% of KÖLN-DÜSSELDORFER Deutsche Rheinschiffahrt AG to River Advice

Today Premicon Beteiligungs GmbH and shareholders associated with Premicon have concluded a contract for the sale of their share in the amount of 76.94% and respectively of 20.38% (a total of 97.32%) of the capital stock of the KÖLN-DÜSSELDORFER Deutsche Rheinschiffahrt AG (KD) to KD River Invest GmbH, a subsidiary of River Advice AG, Basel. The purchase price is EUR 5,600,000.00 plus a possible earn-out. The transfer of the shares to KD River Invest GmbH should take place by mid-October 2016. Afterwards KD River Invest GmbH will make a mandatory offer to the external shareholders for the purchase of their shares.

River Advice is the leading independent competence and service company for the river cruise industry in Europe. With custom-made, transparent modules River Advice AG provides consulting services, administrative management and a complete range of operational services (nautical and technical services, hotel and catering, new vessels/conversions, accident and insurance management) for tour operators and ship owners

KD's Board of Management looks upon the sale favourably. Growth potential from synergies and from the expansion of business segments have been thoroughly analysed with the buyer and strategies for implementation agreed upon. KD's core businesses will be continued at the same time and KD's management team will remain and be responsible for their work as before.
