DO Deutsche Office AG: The Executive Board and the Supervisory Board set the cash compensation and propose to the ordinary General Meeting a transformation of the company into a limited partnership

Hamburg, Cologne, 27 May 2016. As announced on 1 March 2016, DO Deutsche Office AG ("Deutsche Office", symbol: PMOX, ISIN: DE000PRME020) envisages a transformation into a German limited partnership with a limited liability company as general partner (so-called "GmbH & Co. KG"). Upon finalization of the valuation report by the neutral expert who had been instructed to conduct a valuation, the Executive Board and the Supervisory Board of Deutsche Office set today the cash compensation to be offered to shareholders in the course of the transformation and resolved to propose to the Annual General Meeting a transformation of the company into a GmbH & Co. KG with its corporate seat in Hamburg and with alstria Prime Portfolio GP GmbH (registered with the local court of Hamburg, HRB 141158) joining as general partner. Upon the transformation, the company shall bear the name alstria office Prime Portfolio GmbH & Co. KG. Shareholders of Deutsche Office will become limited partners of alstria office Prime Portfolio GmbH & Co. KG.

The transformation resolution, proposed by the Executive Board and the Supervisory Board, provides for a cash compensation pursuant to section 207 of the German Transformation Act ("UmwG") in the amount of EUR 4.68.

The resolution required for the transformation shall be passed in the ordinary Annual General Meeting of Deutsche Office on 12 July 2016.
