Borland Acquires Global Process Consulting Firm to Advance Software Delivery Optimization New Process Optimization Practice and Chief Process Officer to Help Customers Capture Maximum Value from Their Software
Borland Software Corporation (NASDAQ:BORL), the global leader for Software Delivery Optimization solutions, today announced the acquisition of TeraQuest Metrics, Inc., a global process consulting firm based in Austin, Texas. The acquisition will enable Borland to create one of the industry's most comprehensive process optimization practices, leveraging TeraQuest's deep experience and proven offerings in CMMI, software improvement, quality assurance and risk management.

The process component that TeraQuest brings to Borland's existing Software Delivery Optimization solutions will help organizations more easily align people, processes and technology in the software lifecycle. It is this alignment that can help transform software development from an unpredictable art form into a more managed and repeatable business process.

TeraQuest consultants, who average 25 years of industry experience, will join Borland experts to form the company's new Process Optimization Practice. This practice will provide the resources that customers need to develop, extend and deploy software process across the enterprise.
Specific terms of the deal were not disclosed. As a retention mechanism, Borland will issue 86,791 shares of restricted stock and options to purchase an aggregate of 413,000 shares of Borland common stock pursuant to Borland's 2003 Supplemental Stock Option Plan to TeraQuest employees who are now Borland employees.
