Blackbaud, Inc. Announces Filing of Shelf Registration Statement

CHARLESTON, S.C.--(BUSINESS WIRE)--Jan. 18, 2005--Blackbaud, Inc. (NASDAQ:BLKB), the leading global provider of software and related services designed specifically for nonprofit organizations, today announced that it has filed a shelf registration statement on Form S-1 with the Securities and Exchange Commission ("SEC") for the proposed sale of up to 10 million shares of the Company's common stock by the selling stockholders identified in the registration statement. All proceeds from the potential sale of shares would go to the selling stockholders.
Because the shareholders participating in the shelf registration are affiliates of the company, any public sales by them of their Blackbaud shares prior to the time that the registration statement is declared effective are subject to the volume limitations of Rule 144. Once the shelf registration statement is declared effective, the shares available for sale thereunder may be offered from time-to-time, separately or together, in public or private transactions, in one or more offerings, at prices and on terms set forth in the prospectus contained in the shelf registration statement, and in one or more supplements to the prospectus.
A registration statement relating to these securities has been filed with the SEC, but has not yet become effective.
