Annual General Meeting of Platzer Fastigheter Holding AB (publ)

At the AGM of Platzer Fastigheter Holding AB (STO:PLAZ)of 24 April 2014, the shareholders approved the balance sheets for 2013. The AGM ratified the Board of Director's dividend proposal for 2013 of SEK 0.60 per share. The record date for the dividend was set at 29 April 2014 and the dividend is expected to be distributed by Euroclear Sweden AB on 5 May 2014.

The Board and the CEO are discharged from liability for 2013.

As proposed by the nominating committee, the AGM re-elected Fabian Hielte as Chairman of the Board and Eva Persson, Ingemar Larsson and Lena Apler as members of the board and newly elected Anders Jarl to the Board. In accordance with the nominating committee's proposal, it was decided that the Board's remuneration will remain unchanged at a total of SEK 750,000, of which SEK 250,000 will be paid to the Chairman and SEK 125,000 to each of the other members.

The meeting determined the principles for appointing the nominating committee. The nominating committee shall be announced no later than six months before the 2015 AGM, and shall consist of the Chairman and representatives of the three largest shareholders as at the end of the third quarter of 2014.

The AGM approved the Board's proposal for guidelines on the remuneration of senior executives.

The AGM authorised the Board, until the next AGM, on one or several occasions and with or without preferential rights for shareholders, to issue new B shares not exceeding 10 per cent of the share capital. The issue may be implemented as cash, in-kind or offset, and shall be at market price.
