(BM&FBOVESPA: TOTS3), the leading developer of business solutions in Brazil and Latin America, announces today its results of the fourth quarter of 2016 (4Q16). The consolidated financial statements of the Company were prepared in accordance with the accounting practices adopted in Brazil, which are in consonance with the International Financial Reporting Standards (IFRS). To facilitate comparison, we have presented the pro-forma (unaudited) consolidated results that combine the results of TOTVS and Bematech corresponding to three months for 4Q15 and 12 months for the fiscal year of 2015.

• Net Revenue:R$2,183.8 million in 2016 (-3.5% vs. 2015 pro-forma) and R$550.0 million in 4Q16 (-3.7% vs. 4Q15 pro-forma and +2.3% vs. 3Q16).

• Recurring Revenue:R$1,348.9 million in 2016 (+7.2% vs. 2015 pro-forma) and R$344.0 million in 4Q16 (+6.2% vs. 4Q15 pro-forma and +2.7% vs. 3Q16).

• Software Annual Recurring Revenue:R$1,258.9 million in 4Q16 (+8.9% vs. 4Q15 pro-forma and +0.4% vs. 3Q16).

• Subscription Revenue: R$229.2 million in 2016 (+21.4% vs. 2015 pro-forma) and R$64.1 million in 4Q16 (+28.8% vs. 4Q15 pro-forma and +9.1% vs. 3Q16).

• Subscription Annual Recurring Revenue:R$260.0 million in 4Q16 (+28.0% vs. 4Q15 pro-forma and +10.7% vs. 3Q16).

• Adjusted EBITDA: R$358.7 million in 2016 (-21.5% vs. 2015 pro-forma) and R$60.7 million in 4Q16 (-28.5% vs. 4Q15 pro-forma and -29.8% vs. 3Q16).

• Adjusted Net Income: R$162.0 million in 2016 (-42.8% vs. 2015 pro-forma) and R$29.7 million in 4Q16 (-40.0% vs. 4Q15 pro-forma and -33.7% vs. 3Q16).
