Arthur J. Gallagher & Co. Announces $400 Million Private Debt Placement

ITASCA, Ill., Aug. 3 /PRNewswire-FirstCall/ -- Arthur J. Gallagher & Co. today announced that the company has completed an issuance of $400 million of senior unsecured notes through a private placement. The issuance is divided into two series: Series A for $100 million due in 2014 and bearing interest at 6.26%; and Series B for $300 million due in 2017 and bearing interest at 6.44%. The net proceeds of the offering will be used for general corporate purposes including the repayment of its existing revolving credit borrowings, acquisitions and stock repurchases.

The Company offered and sold the notes pursuant to the exemption from registration provided by Section 4(2) of the Securities Act of 1933, as amended (the "Securities Act"). The Company has not and does not intend to register the notes under the Securities Act. The notes may not be offered or sold in the United States absent an effective registration under, or an applicable exemption from the registration requirements of, the Securities Act.
